Je stärker in Europa ein Gesellschaftsrecht mit Rechtswahlmöglichkeiten befürwortet wird, desto mehr wächst die Bedeutung von Information als Funktionsvoraussetzung für effiziente Entscheidungen. Gerade im Verkehr mit Unternehmen sind die Rechtsbeziehungen jedoch vielseitig und durch unterschiedliche, vielfach gegenläufige Interessen bestimmt, so dass der Marktmechanismus nicht automatisch die Gewähr dafür bietet, dass notwendige (Unternehmens-)Information stets auch in hinreichendem Maße bereitgestellt wird. Ziel der vorliegenden Arbeit ist es, ein die Information in den Vordergrund stellendes Modell als Harmonisierungskonzept im Europäischen Gesellschaftsrecht zu skizzieren und dessen praktische Umsetzung in den europäischen Harmonisierungsrechtsakten zum Gesellschaftsrecht nachzuweisen.
